01. Introduction
The terms found in these terms and conditions (the “Terms and Conditions”) govern the relationship between you and NEO Hold'em (neoholdem.com), a limited liability company registered under the laws of Malta, bearing company registration number C 48666 and having its registered office situated at Level 1, Spinola Park, Mikiel Ang Borg Street, St. Julian's, SPK 1000, Malta and its group entities (hereinafter referred to as “NEO Hold'em”, “us”, or “we”).
These Terms and Conditions govern (i) visits to the website neoholdem.com (the “Website”), and (ii) the use of the Website as a service through the creation of an account (the “Service”) except where we expressly state that separate terms and conditions (and not these) apply. Visits to the Website and/or usage of the Service is also governed by the Privacy Policy and Cookie Policy, which shall be incorporated with and considered an integral part of these Terms and Conditions.

NEO Hold'em (neoholdem.com) reserves the right, at its discretion, to make changes to these Terms and Conditions at any time. These changes may be required for a number of reasons, including but not limited to, for commercial reasons or in order to comply with new laws and regulations.
You will be deemed to have accepted the changes to these Terms and Conditions by continuing to visit the Website and/or use the Service. If at any time you disagree to any portion of the then-current version of our Terms and Conditions, these Terms and Conditions shall immediately terminate, and you must immediately stop visiting the Website and/or using the Service.

A. Visiting the Website
The Website is provided to you by NEO Hold'em (neoholdem.com). All intellectual property rights associated with the Website are the sole property of NEO Hold'em. All graphics and other items that appear on the Website (the “Intellectual Property”) are the property of NEO Hold'em and are protected by the relevant intellectual property laws and regulations in various jurisdictions. The Intellectual Property may not be used or interfered with in any manner without the express written consent of NEO Hold'em. Except as otherwise expressly authorised by these Terms and Conditions, you may not copy, reproduce, modify, amend, lease, loan, sell and/or create derivative works from, upload, transmit, and/or distribute the Intellectual Property in any way without prior written permission.
Except to the extent required by law or as expressly provided herein, none of the Intellectual Property found on the Website may be reverse engineered, modified, amended, reproduced, republished, translated into any language or computer language, re-transmitted in any form or by any means, offered for sale, sold or redistributed without prior written consent.
B. Creation of Account to Use the Service
In order to use the Service, you must create an account with NEO Hold'em (neoholdem.com). You shall not create an account to use the Service if you are under the age of eighteen (18) or any higher age imposed by the laws that apply to you (the “Legal Age”). When attempting to create an account or using the Service, it is your responsibility to verify that you reached Legal Age. Furthermore, it is your responsibility to deny use of the Service to individuals who are not of Legal Age. NEO Hold'em shall not be held responsible for any unauthorised use of the Service by minors.
Your account to use the Service must be created in your own, legal, name. You may only create one account to use the Service. Any duplicate accounts which you create to use the Service shall be considered as “Duplicate Accounts” and may be closed by us immediately.
You must maintain your account and keep your details up-to-date. If you wish to close your account, you must send a request to do so to [email protected].
C. Usage of the Service
You shall use the Service for personal, non-commercial use. The use of the Service for advertisement, solicitation, or transmission of commercial advertisements, including chain letters, junk, or spam e-mail or repetitive messages to anyone is strictly prohibited. You must not, without express approval, distribute or otherwise publish any content found on the Service.
You shall not upload to or distribute or otherwise publish to the Service any content with the purpose of introducing any trojan horse, worm, logic bomb, time bomb, backdoor, trap door, key or other similar or harmful components which have the potential to impair, interfere with or prevent the operation of the Service, nor any malware, viruses, spyware, or other malicious software or files.
You shall not upload to or distribute or otherwise publish to the Service any content that promotes violence or hatred against individuals or groups based on age, disability, ethnicity, gender identity and expression, nationality, race, immigration status, religion, political views, sex/gender, or sexual orientation, nor any content that includes nudity, pornography and/or the depiction of sexual acts, nor any content that violates or infringes upon the rights of any third party.
You shall not use any software, or manual or automatic device, tool, or process designed to circumvent or surpass any restriction, condition, or technological measure that controls access to and/or the use of the Service.

05. Blocked and Restricted Territories
NEO Hold'em (neoholdem.com) is subject to various regulatory and legal requirements in relation to blocked and restricted territories. As a result, the following terms and conditions shall apply to individuals that visit the Website and/or use the Service:
- A. Blocked Territories – Territories that are blocked from visiting the Website: Individuals residing in any of the following territories are not permitted to visit the Website: Australia, Crimea, Cuba, Iran, Myanmar, North Korea, South Sudan, Sudan, Syria, and Taiwan (the “Blocked Territories”).
- B. Restricted Territories – Territories that are restricted from using the Service and/or playing demo games using the Service: Individuals residing in any of the following territories are not permitted to create an account to access the Service and/or play demo games using the Service: Belgium, Cameroon, Canada, India, Netherlands, Romania, United Kingdom, and Ukraine (the “Restricted Territories”).
You are prohibited from using any software or code with the aim of manipulating or falsifying your location data to bypass internal controls when visiting the Website and/or creating an account to use the Service from Restricted or Blocked Territories.
06. Participation in Tournaments Organised by NEO Hold'em
NEO Hold'em (neoholdem.com) may host tournaments whereby participants can opt to play Hold'em games free of charge and win virtual play-money prizes. Participants do not require to purchase a stake to enter a tournament or win prizes in the tournament because tournaments are free-to-play. We encourage all participants to play responsibly and seek help if any signs of problem gaming are noticed.
A. Eligibility
Participants must be of Legal Age (18+). Participation in the tournament is free of charge. Decisions taken by NEO Hold'em regarding the tournament are final.
B. Tournament Prizes
All chips, multi-currency wallet balances, and tournament prizes are non-transferable and cannot be redeemed for cash.
C. Tournament Ties & TDA Rules
All hand evaluations, odd-chip awards, and side-pot settlements strictly adhere to Poker TDA Official Rules (Rule 43, Rule 45-B) and WSOP / Robert's Rules of Poker.
D. Fair Play & E. Liability
Attempts by participants to engage in unfair practices (such as creating multiple accounts or exploiting any bug or glitch) will result in immediate disqualification.
07. Representations, Warranties, Limitation of Liability, and Indemnification
NEO Hold'em (neoholdem.com) does not represent or endorse the accuracy or reliability of any information displayed, uploaded, or distributed through the Website by us or any user of the Service. We exclude and waive any liability towards you or any other person that may arise because of any information displayed or distributed through the Website.
NEO Hold'em, its shareholders, directors, officers and employees shall at no point in time be held liable to you or any other person as a result of your use of the Service for any indirect, special, economic or consequential loss or damage and/or any loss of profits (whether direct or indirect), business opportunities, revenue or damage to goodwill or loss or corruption of data arising out of or relating in any way to these Terms and Conditions and/or the Website and/or Service itself.
To the maximum extent permitted by applicable laws, the Website and the Service is distributed on an “as is” basis without warranties of any kind, either express or implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose.
You agree to indemnify, defend, and hold NEO Hold'em harmless for any claim, demand, damages, or other losses, including reasonable attorneys' fees, asserted by any third party resulting from or arising out of your use of the Website and/or the Service, or any breach by you of these Terms and Conditions.
08. Applicable Law and Dispute Resolution
These Terms and Conditions shall be governed in all respects by the laws of Malta. Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding their existence, validity, or termination shall be determined by the Courts of Malta.
09. Severability
If any provision of these Terms and Conditions (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, the other provisions shall remain in force.
10. Amendments to the Terms and Conditions
NEO Hold'em (neoholdem.com) reserves the right to amend these Terms and Conditions at its sole discretion. By visiting the Website and/or continuing to use the Service after any changes to the Terms and Conditions have been effected shall constitute your agreement to them.
